Terms of use

1. Service Agreement Establishment

Please read the Cntrans Terms and Conditions of Service Agreement (Referring to "This Service Agreement"). Cntrans owns all the possession and operation rights of Cntrans online services. The Terms and Conditions consisted in this Service Agreement apply to all Cntrans users. The user must accept this Service Agreement before using the Cntrans website. (Domain unconfirmed)

2. Acceptance of Terms and Conditions

All your actions on Cntrans are deemed that you have comprehensively read, understood and accepted this Service Agreement and agreed to be bound to its Terms and Conditions. Cntrans owns all authority to make alteration to the Terms and Conditions from time to time. All alteration of the Terms and Conditions will be published on Cntrans without informing the user separately. The user can log on Cntrans to check the latest version of Service Agreement at any time. In case of disagreement of the alteration, the user must stop use our "services". The revised Terms and Conditions take effect immediately after being published on Cntrans. Your continuous use of our services constitutes your agreement of the revised Terms and Conditions which serves as the latest version of Service Agreement to settle your dispute with Cntrans. Only in the case of an additional statement, otherwise any new content causing expansion and enhancement of our services is governed by this Agreement. Unless presenting written agreement authorized by Senior Manager of Cntrans, this Terms and Conditions cannot be amended. The content of this Service Agreement consists of the main text of the Agreement and various rules that Cntrans has published or will publish. All these rules are integral parts of the Service Agreement and have the same legal force as the main text of the Agreement.

3. User

3.1 User Qualification

Cntrans user must be a company or individual that is able to take legal responsibility. Therefore, only individual of 18 years old or above is allowed to use our "service". If you cannot meet the requirements, please do not use our "service".

3.2 Registration Obligation

Once you decide to register on Cntrans, you agree to: (a) provide real, accurate, and complete material (which reflects current situation) about you or your company according to the requirement of member form listed on Cntrans; (b) maintain and update membership information in time, make sure it's real, accurate, and complete (which reflects current situation). If you haven't provide us with real, accurate, complete or information that can reflect current situation, or Cntrans doubts these materials are unreal, inaccurate, incomplete or they can't reflect current situation, Cntrans reserves the right to stop using registration identity and information temporarily or permanently and deny any using of "our service" in any form at present or in the future. If you register on behalf of one company or other legal subject, you state and guarantee you have the right to make sure the company or other legal subject is subject to our terms of the agreement. In case that the information you provide or Cntrans has rational reason to suspect this material is not real, accurate, complete or it doesn't reflect current situation, Cntrans has the right to suspend or terminate your registration identity and information as well as rejecting your use of any of our services from then on. If you register on behalf of a company or other legal subject on Cntrans, then you should make a statement to guarantee your right to make the company or other legal subject obligated to this Service Agreement.

3.3 User name, password and security

Once the user successfully registered to be a legal member of Cntrans, his registered user name and password will be saved. You have to protect security of the user name and password; and also take responsibility for all activities when using your user name and password. Your Agreement includes: (a) in case of discovering someone else using your user name and password without authorization or in other offences against the security regulations, please inform Cntrans immediately; (b) ensure your logout process is correct during every online business login or logout. Cntrans cannot and will not take any responsibility for your loss or damage because of your failure to comply with this term of regulation.

3.4 User Regulations

3.4.1 User material and products for sale & trade.

Once the user successfully registered to be a legal member of Cntrans, his registered user name and password will be saved. You have to protect security of the user name and password; and also take responsibility for all activities when using your user name and password. Your Agreement includes: (a) in case of discovering someone else using your user name and password without authorization or in other offences against the security regulations, please inform Cntrans immediately; (b) ensure your logout process is correct during every online business login or logout. Cntrans cannot and will not take any responsibility for your loss or damage because of your failure to comply with this term of regulation.

3.4.2 Regulations about User material

Your Agreement includes that the material and all "items" you provided on Cntrans for trade. (Regarding specific product items that are for legal trade, no matter the product items are tangible or intangible, or in any form, or any rights or benefits, any bills or securities, or any services or activities). The "item" in this Agreement equals to all the meanings above.) a. Not containing any fraud information, and not involving with the sale of counterfeit or stolen products.

b. Not infringe any third party's rights of ownership property of the item, or copyright, patent, trademark, confidential business information or other intellectual property rights, privacy, or reputation.

c. No violation against any law, regulation, ordinance, or rule ( including but not limited to law, regulation ordinance or rule that regulates export management, trading quota, consumer protection, unfair competition or false advertising.)

d. Not including content of defamation (including commercial defamation), illegal intimidation or harassment.

e. Not containing content of obscenity or any child pornography.

f. Not consisting of any virus, camouflaged damage program, computer worm, time bomb program or other computer program with malicious harm, vicious interference, secret interception or occupation of any system, data or personal information.

g. Not connecting with the following goods or service directly or indirectly, or containing any description of them.(I) Prohibited goods or services under this agreement; or (II) goods or services unauthorized to connect.

h. Not using our "services" for any catenation, junk, massive random emails delivery or any copy or relevant unnecessary information.

i. Not using our "services" for unauthorized collecting of other user's email address or relevant information.

j. Not using our "services" for creating fake email address or by other ways causing mislead about the sender identity or other source of the information.

3.4.3 Prohibited items

The user is forbidden to publish, or trade on Cntrans with: (a) Any product that may cause violation against relevant law, regulation or rule; (b) Any product that Cntrans considers as should be forbidden or inappropriate for trading on Cntrans.

3.4.4 User Authorization of usage

User authorized Cntrans with exclusive, global, permanent and free right of usage (Cntrans has the right to authorize for a second time in multi-aspects.) that enables Cntrans having the right (partially or fully) to use, copy amend, re-write, publish, translate, dispense, operate and display "your material" or other derivative data, or combine "your material" into other derivative data with any known or later developed form, media or technology.

4.Services

4.1 Cntrans provides services according to the present situation

Cntrans can not always foresee every technical problem or other difficulty which may cause data loss or service disconnection. For this reason, the user should understand and agree to use our "services" at the user's own risk. Our "services" are provided based on the "present situation" and the "available sorts". Cntrans has clear statement of no expression or implication to guarantee including but not limited to merchantability, for a particular purpose and non-infringement, etc. Cntrans does not guarantee the following content:

(a) Our "services" meet your requirement;

(b) Our "services" will not be interrupted, and will serve correctly, safely in time;

(c) The results you may get through our "services" are accurate and reliable;

(d) The quality of any product, service, material or other information you bought or obtained through our "services" could meet your anticipation.

Any material downloaded or obtained through our "services" or other channels was on the user's own decision, and the user should take responsibility for it. Also the user should take responsibility for any damage or loss of data in the computer system caused by the downloaded material. Any oral, written advice or information obtained on Cntrans or through our "services" does not lead to extra guarantee unstated in this Agreement.

4.2 Service termination temporarily or permanently

Cntrans takes no responsibility for the failure of deleting or saving the information user publishes. Cntrans has the right to refuse to provide "services" at any time on our sole decision, especially to the ones whose membership was terminated temporarily or permanently. Once the membership is terminated, the user cannot publish information on Cntrans for anyone including himself, meanwhile, the registration data and other related information of this user will be deleted or abandoned. Cntrans reserves the right to terminate user membership temporarily or permanently according to the following cases:

(a) Publish massive duplicated information on Cntrans;

(b) Delivery of massive non-business related information to Cntrans members without application or authorization;

(c) Fraudulent use of other companies' name to publish business information, and conduct business activities;

(d) Maliciously attack Cntrans data, network or server;

(e) Illegally occupy other Cntrans member's user name or password;

(f) Violation of the regulations stated in this Agreement;

(g) Not paying related service fee for using paid-services according to relevant regulations.

5. Fee

It is free to register for Cntrans membership and use related services; however, Cntrans charges for VIP membership and other paid-services. Please refer to Cntrans relevant announced notice for details of the charges. Cntrans reserves the right for amendment of the charge related terms. The user pays for the entire fee generated including all the tax during Cntrans trading, paid-services and server connection as well as other costs related to hardware, software, communication, network services etc. Cntrans also reserves the right of non-written notice, temperately or permanently amend or cease the "services" (partially or fully).

6. Trade

6.1 Trading procedures

6.1.1 Add product description items

Product description item means the text description, image or photo the user provided on Cntrans website which includes: (a) The description of the product the user owns and intends to sell; (b) The description of the product the user searches for. The user can publish one or more kinds of the product description at the same time on condition that the user must classify the product description into correct categories. Cntrans takes no responsibility for the accuracy or content of the product description.

6.1.2 Trade consulting

Through clear description on Cntrans website about offer and counter-offer, each party consults during the trading process. All parties accepting the offer or counter-offer constitutes the obligation of Cntrans member to complete the trading. Except for special circumstances that the user makes tangible change to the items or clarifies for any text input error, or cannot verify the trading related user identity etc, the offer or acceptance cannot be cancelled.

6.1.3 Settlement of trade dispute

(a) Cntrans does not involve in the legal relationships or disputes generated from the trading between users. Also, Cntrans cannot and will not get involved between the trading parties during the process. In case that the user has dispute with another one or more than one user or even a third party service provider of Cntrans, this user should exonerate Cntrans (including Cntrans agents and employees) from the responsibilities caused by this dispute or any related (actual and consequential) claims, demands and damages compensation, etc. of various forms or kinds.

(b) In case that the user asks Cntrans for mediation or settlement of the dispute generated during the trading process with another user on Cntrans website, Cntrans has the right to mediate and make settlement according to the published regulations after verification. As Cntrans does not belong to the Judiciary department, the user should comprehensively understand and admit that Cntrans has limited ability to identify evidence and settle the dispute in which Cntrans only accepts to make the dispute settlement according to the user's request and cannot guarantee for the result of the dispute settlement meeting the user's anticipation nor will not take responsibility for the result of the dispute settlement. Cntrans reserves the right of decision whether to accept the mediation and settlement of the dispute.

(c) Through email or other contact, Cntrans has the right to ask the user for information and inform the other user about it during the dispute mediation and settlement. The user has the obligation to cooperate with Cntrans; otherwise Cntrans has the right to make settlement that may be disadvantageous to the user.

(d) In case of the user violation of law or this Agreement or Cntrans has reasonable doubts about the user violation of law or this Agreement on our sole judgment confirmed by valid legal document, Cntrans has the right to publish on the Cntrans website about the information about user violation and make punishments. (Including but not limited to service restriction or termination etc.)

6.1.4 General knowledge of operating

Cntrans cannot and does not attempt to control the material other user provided through our "services". Essentially, other user's material may be offensive, harmful, inaccurate, wrong tags for introduction in some situation or even using fraudulent tags for introduction. Cntrans reminds every user to be careful, cautious and using general knowledge while using Cntrans online services.

6.2 Trade system

6.2.1 No trade manipulation

Your agreement includes not manipulating the result of the commercial negotiation with the other trading party by providing help for fraud or for those partners with deceitful intensions (subordinate clients or a third party).

6.2.2 Integrity of system

Your agreement includes not using any equipment, software, or routine program to interrupt or attempt to interrupt the normal running of Cntrans website or any trade on Cntrans website. And not conduct activities of loading any unreasonable or disproportionate large loads onto Cntrans network structure. And also not disclosing or sharing the user password to/with any third parties, or any unauthorized usage of the user password.

6.2.3 Feedback

The user should not conduct any activity that might damage the integrity of the info-feedback system, for instance, using another membership identity or a third party to make positive feedback to the user himself or make negative feedback to the other user (feedback data bomb); or make negative feedback about the user unable to fulfill the items beyond the trading (malicious feedback infliction).

6.2.4 No commercial usage

The user should not make commercial use of any material including but not limited to make copies of any information displayed on Cntrans website without authorization by the Cntrans senior manager.

6.2.5 No guarantee provided

Cntrans does no guarantee about any product services or trade provided on Cntrans website.

7. Compensation

As for any kind of claim, demand, lawsuit, losses or damages (actual, special or consequential) no matter it is known or unknown, including reasonable attorney's fees that are caused due to the user breaches the service agreement or any terms or rules that have not been included in the agreement or the user breaches any law or the third party's rights, the user agrees that the Cntrans user should apologize and compensate to Cntrans Co., Ltd, Cntrans website, staff and the owners or proxy.

8. Linkage

Cntrans user and the third party have the right to post other websites or resources on Cntrans and Cntrans will not control the website or resources if you agree. Cntrans will not take responsibilities on usage of such websites and Cntranscan not take legal liability on content, promotion, products, services and other services from the linked websites. Further more, Cntrans will not take charge of any losses the users suffer from such information on those linked websites.

9. Notice

The agreement defines Cntrans will publish its notice through the official website, email, cell phone short message or mail to the users, Cntrans deems the user has received the notice on the day when the message is sent out. Cntrans user can send their notes to Cntrans through Cntrans official mail address, fax number, email address etc.

10. Entrust Services

10.1 Entrust Cntrans

Users entrust Cntrans services, including but not limited to searching or posting information, informatization reform, personality brand websites, multimedia presentations, advertising, software services, and mobile value-added service. The user and Cntrans sign proxy service agreement, which will take place of any written or oral agreement on the similar issues that the user and Cntrans contract previously, since rights and obligations on both parties will be bound in the contract.

10.2 Entrust a third party

Services users entrust the third party, including but not limited to tracking the order, logistics, customs clearance, certificate application, capital supervision. The user (entrusting party) and the third party (Entrustee) will sign proxy contract, which will define and bind rights and obligations on both sides. Cntrans is just an entrusted party appointed by entrusting party and Cntrans will not constitute relationship of granting or being granted, proxy, partnership, joint operation, or relationship of employee or employer, Cntranscan not and will not control whether both sides could implement their obligations or not and Cntrans will not pay for the expenses that are caused during the course when the contract is implemented. Cntrans will not involve in any legal relations or disputes between the entrusting party and the entrusted party.

11. Advertisement and Financial Service

When you engage in the trading business or join any promotions through the Cntrans services or advertisement information posted on Cntrans, including service payment and handover of any products as well as other items, conditions, guarantee or statement on the transaction, which is limited within the two parties, the user and the user who publicize advertisement. You agree that Cntrans will not take responsibilities on any losses or damages caused by any business transaction or any advertisement. If you plan to establish or join any company through Cntrans or any services about stock exchange, investment or securities, or sell information for any company, stock market analysis, investment or securities; please note Cntrans will not take responsibilities on the accuracy, application or usage on such information or any transactions or investment led by such information.

12. Transfer

Cntrans transfer the agreement without prior consent from the user.

13. Law

You should comply with relevant laws, regulations and rules when using the Cntrans service, posting commercial information, or buying or selling any products. The user should take legal liability to the offences or violation against national laws or service agreement.

14. Lawsuit

Any disputes caused by the service agreement or Cntrans services can be submitted to People's Court in Shenzhen in Guangdong province, which should be subject to laws and regulations in the People's Republic of China (PRC).

15. Other Items

The agreement takes place of any written or oral agreement on the same items you made with Cntrans previously. All the items in the agreement are subject to laws on the mainland area in the People's Republic of China (PRC). The items in the agreement will be revoked if the items are ruled illegal or unenforceable, while the other items should be carried out. The item headings used herein are for convenience of reference only and no definition, restriction, explanation or description to indicate the limit or extent. Cntrans does not take action responding to any breach of the agreement, which does not mean Cntrans will withdraw the right on taking actions to any consequences or similar offences.
